Metal is heavier and more aggressive, and is often darker. Rock is almost all blues based, though metal can also be, but isn't for the most part, particularly in the extreme genres. I like metal, but I don't like rock. There is a huge difference. I don't even like bands like Led Zeppelin or Aerosmith, I just can't get into them.
 
metal more often than not has a darker lyrical message, and a structure all its own. its not based on chords in repeated, semi-simplistic fashions. (exceptions to this are found a lot in 90's grunge music actually) in metal, the technical skills of the musicians are on display in most genres, but the critical difference is atmosphere. Metal music, especially the darker metal genres have an atmosphere all their own. usually dark, desolate, sometimes made possible by purposefully poor production. even when the production is good, the downtuned guitars, crunchy riffs and low-end distortion creates a similar aura of doom. punk is fast, but punk is also sloppy. punk shares a lot in common with thrash metal in the department of speed, but thrash artists employ more guitar theatrics as well as lyrics usually based on hell, politics or the apathy of life.

this is really hard because there's so many different subgenres of metal, there's a number of factors that contribute to something's "metalness", and the loss of any one or two factors may or may not make something not metal. for example, remove the harsh vocals and minor key tonality from Ildjarn and you have a hardcore punk band, but do the same with something like later Dark Tranquillity and you probably have a power metal band or something.

in my opinion one of the most important factors is the increase in melodic importance of the guitar riff to at least equivalent with the vocal (or moreso in extreme metal), rather than being a simple series of chords used to provide backing harmony to the vocals. but this isn't enough alone, as you could use the same description of genres as disparate as hardcore punk and prog rock.

so i guess other aesthetic factors (usage of distortion etc) are relevant too.

Metal uses narrative structures.
